Terms of service

These terms are an agreement between you (the business using our services) and Nine Scrolls Pte. Ltd. (Nine Scrolls Private Limited, UEN 202529756C, "Nine Scrolls", "we"). By paying an invoice or using a service you agree to them.

1. Our services

• ReplyMate: an AI assistant on your WhatsApp line that replies to enquiries, books appointments, sends reminders and keeps your customer records.
• Wes: a website for your business, with hosting.
• Echo: daily social media posts on the accounts you connect (Facebook, Instagram, TikTok), with reports on how they perform.
• Victoria: daily short videos, with one shoot with you each month.
• Employment agency services (licence 25C3119, Comprehensive Non-FDW): manpower consultation, placement, and Employment Pass and Work Permit support. These are covered by a separate written agreement with its own fees; these terms do not apply to them.

2. Prices and payment

These are starting prices; your quote shows your exact price. Nine Scrolls is not GST-registered, so no GST is charged. Invoices are paid by PayNow, in advance. Setup starts once we receive payment. If a monthly invoice is unpaid 14 days after its date, we may pause the service until it is paid.

3. Minimum period and cancelling

• Monthly plans have a minimum of 3 months. After that you can cancel by telling us at least 14 days before your next invoice.
• The annual plan runs for 12 months. We remind you 30 days before it ends.
• Setup fees and months already paid are not refunded, unless we fail to deliver the service.

4. Your approvals

We send drafts of posts, captions and videos to you on WhatsApp. We only post after you reply APPROVE (or approve on the review page we send you). Once you approve, you are responsible for that content as if you posted it yourself.

5. Your responsibilities

• Give us correct information about your business, services, prices and hours.
• Only connect accounts you own or are allowed to manage, using the platforms' official sign-in. Never send us passwords.
• Make sure you have the rights to photos, music, logos and videos you give us, and that people filmed agree.
• Follow the rules of WhatsApp, TikTok, Facebook and Instagram, and the law, including the PDPA for your customers' data.
• Tell your customers that an AI assistant answers your WhatsApp.

6. AI and platforms

ReplyMate and our captions are written by AI and can make mistakes. Check important answers (prices, medical, legal or money matters) yourself. WhatsApp, TikTok, Facebook and Instagram are run by other companies. They can change their rules, limit reach, or suspend accounts, and we do not control or guarantee views, followers or sales.

7. Ownership

You own your business content and the videos and posts we make for you once they are paid for. We own our software and templates. We may show your public posts or website as examples of our work unless you tell us not to.

8. Liability

We provide the services with reasonable care and skill. To the extent the law allows, we are not liable for indirect losses (such as lost profits or lost customers), and our total liability is limited to the fees you paid us in the 3 months before the claim.

9. Ending the service

Either side can end the service if the other seriously breaks these terms and does not fix it within 14 days of being told. When the service ends, we disconnect your accounts and delete your data as set out in our privacy policy.

10. Changes and law

We may update these terms and will tell you at least 30 days before a change that affects you takes effect. These terms are governed by the laws of Singapore, and the Singapore courts decide any dispute.
